  • About The Role

  • We have a fantastic opportunity for a professional, highly organised individual to provide comprehensive support to the Chief Legal Officer & Company Secretary, and the Secretariat team, in delivering high-quality governance and company secretarial services across the LV= Group. The role is key in ensuring compliance with corporate governance, legal and regulatory requirements, and supporting the Board, its committees, the Group’s subsidiaries, directors and senior executives in fulfilling their obligations.

    Key Responsibilities

    • Assisting in the preparation and distribution of Board, Board Committee, Executive and Management Committee meeting packs, in line with agreed timelines.
    • Supporting the Board and Committee process (including Executive and Management Committees), working with the Secretariat team, Board or Committee Chairs to update and manage agendas and the preparation of papers where required.
    • Supporting the management of the corporate calendar, including scheduling meetings.
    • Maintaining statutory and regulatory registers for all Group companies, submitting filings to Companies House, such as the annual Confirmation Statements and Report and Accounts (including any associated paperwork) for all Group companies.
    • Supporting the team in compliance with SM&CR plus other regulatory or governance frameworks.
    • Assisting with annual reviews of governance processes such as the Board and Committees’ Terms of Reference and effectiveness evaluations.
    • Supporting the Team’s reporting and governance activities for the year-end Annual Report process.
    • Supporting the preparation of other statutory deliverables (e.g. the Modern Slavery Act Statement).
    • Acting as a first point of contact for Non-Executive Directors for administrative queries, and for stakeholders in relation to statutory or regulatory requests.
    • Contributing to governance projects such as meeting preparation, corporate restructures or transactions and subsidiary compliance reviews.
    • Assisting with the implementation of governance enhancements and digital solutions for Board processes.
    • Supporting the management of policies owned by the Chief Legal Officer & Company Secretary.
    • Supporting the team in compliance with the Risk Management Framework and associated obligations of the Team and the Chief Legal Officer and Company Secretary.
    • Maintaining information on the Secretariat intranet and the governance pages of the company website.
    • Maintaining the Secretariat Operations Guide and Corporate Governance Manual.

    About You

     Our ideal candidate will…

    • Have previous experience of working in an administrative role within a corporate environment.
    • Possess excellent organisational skills and a keen eye for accuracy and detail.
    • Be a proficient user of Microsoft Office programmes.
    • Demonstrate previous experience in a governance or company secretarial role within financial services or insurance (desirable).
    • Be part-qualified or studying towards CGI qualification (desirable).
    • Understand SM&CR and FCA regulatory requirements (desirable).
    • Showcase a strong understanding of the Companies Act 2006 and the UK Corporate Governance Code (desirable).
    • Have experience of using Board portal software (e.g. Diligent or similar) (desirable).
    • Have prior experience of making statutory filings at Companies House (desirable).
    • Be a discreet and professional individual, with a high level of integrity and attention to detail.
    • Possess strong communication skills and the ability to work with senior stakeholders.
    • Be proactive and adaptable in a fast-paced environment.
    • Work in a composed, diligent and reliable manner.

    This role is a Band B in the LV= salary structure.

    Please note all salary sacrifice benefits are subject to National Minimum Wage requirements i.e. you are unable to select any benefits that would reduce your base pay below the minimum wage threshold.
